Brief Job Description:

The Senior Manager Commercial Legal is responsible to manage all aspects of commercial legal requirements and transactions at MTN Cameroon with a primary focus on contractual arrangements and support to the Company Secretariat.

This role will manage and provide guidance and advice on all legal aspects of transactions, legal risks mitigation, and governance.

 

Detailed Job Description:

The Commercial Legal function must, therefore, ensure the successful delivery of legal advisory services and solutions within the context of:

 

·       Fast evolving ICT/TMT business environment

·       Increased competition within the industry

·       Management of heightened customers’ and suppliers’ expectations

·       MTNC positioned as a leading network and digital solutions provider

·       Highly litigious and unpredictable evolving legal and regulatory environment                       

·       Need of combining delivery pace and securing company’s transactions

·       Increasing number of projects linked to changing priorities and initiatives

 

Key Performance Areas: 

The Senior Manager Commercial Legal will be accountable to achieve the following objectives:

·       Conduct due diligence and structuring of deals relating to commercial transactions.

·       Draft, negotiate and formalise legal aspects of commercial arrangements and agreements.

·       Manage and provide legal advice and opinions.

·       Manage the legal aspects of and participate in various projects and initiatives undertaken by the company in liaison with other stakeholders as required.

·       Management of litigation (if required) and active engagement in the resolution of any disputes.

·       Draft and update legal policies and procedures and contract templates in line with best practices.

·       Provide support, guidance and advice to Company Secretariat where requested or required to ensure compliance with corporate governance standards and rules.

·       Effective negotiation, drafting and reviewing of quality contracts.

·       Attend to all legal queries in relation to MTNC business and contracts as required.

·       Ensure that input of relevant external and internal stakeholders is addressed and reflected in transaction documents and in policies and procedures.

·       Monitor and keep abreast of legal and industry developments.

·       Knowledge sharing and providing training to members of the legal team and other stakeholders on legal and industry developments.

·       Liaise with, and manage, external law firms, to the extent required.

·       Ensure all agreements comply with company policies and procedures.

·       Identify and escalate possible risks and manage the implementation of mitigating strategies.

·       Manage and monitor the contract management system and ensure speedy delivery of agreements.

·       Ensure filing and archiving of contract documentation in the contract management system for compliance with document retention rules and policies.

·       Ensure reporting to MTN Cameroon Management and Group Legal with focus on contract management.

Job Requirements

Education:

-       Academic Degree in Law, with Honours (LLB or equivalent preferred)

-       Post-Graduate Diploma / degree in Law (LLM or equivalent)

-       Bar Association Member / Member at other professional bodies (optional advantage)

Experience:

-       Minimum 08 to 10 years legal work experience in commercial legal practice or within the Legal Department of a reputable and structured business environment, preferably in a multinational corporation or in a commercial legal practice.

-       3 years in managerial position.

-       Experience advising on, managing and negotiating complex commercial transactions and agreements, including experience drafting and negotiating contracts involving the provision of TMT/Digital services and support.

-       Experience advising on, managing and negotiating commercial transactions involving multiple jurisdictions (an advantage).

-       Experience working with and managing multiple stakeholders.

-       Experience working in, or advising, entities operating in the telecommunications/electronic communications or financial services industry (an advantage)

Competencies:

-       In-depth knowledge of local laws and regulations

-       In depth knowledge of the Cameroonian judiciary system and the functioning of the courts system (Civil & Common Law)
